By you, “The Client”, undertaking the services of The Marashi Marketing Company, “The Agency”, for Google Search Ads Management on a pay-as-you-go 30-day term, you agree to the following terms of service.
1. Scope of Services
The Agency agrees to provide the Client with the following services during the 30-day service period:
- Management of Google Search Ads campaigns
- Campaign setup, optimisation, and monitoring
- Keyword research and targeting
- Ad copy creation/editing
- Performance reporting
Note: This agreement covers Google Search Ads only, and does not include Google Display, YouTube, Shopping, or any other advertising channels unless agreed in writing.
2. Term of Agreement
This Agreement is valid for a period of 30 consecutive calendar days, beginning on the confirmed start date, which will be set following receipt of payment in full.
3. Fees and Payment Terms
- The Client agrees to pay a flat service fee of the amount agreed upon in the Proposal for the 30-day service period.
- Full payment must be received upfront, prior to any work commencing.
- Payment shall be made via bank transfer or other approved method.
- No refunds are offered once work has begun.
- The Client is responsible for paying directly to Google any media/ad spend budget; this amount is separate from the Agency’s service fee.
4. Client Responsibilities
The Client agrees to:
- Provide timely access to the Google Ads account and any related assets.
- Respond to communication from the Agency in a timely manner.
- Maintain an active and valid payment method for their Google Ads account.
- Not make unauthorised changes to the campaigns during the 30-day period without consulting the Agency.
5. Renewals and Extensions
- This is a pay-as-you-go monthly service; continuation of service beyond the 30-day term requires a new agreement and upfront payment.
- The Agency is not obligated to continue services beyond the agreed term unless a new agreement is entered into.
6. Termination
- The Client may not cancel the service once payment is made and the campaign period has commenced.
- If the Client wishes to cancel, they just need to give the Agency 31 days’ notice, usually meaning that the Client will have one final payment following the date they cancel (but the Agency will work for a month after that payment date).
- The Agency reserves the right to terminate the agreement in cases of non-cooperation, abusive behaviour, or failure to provide necessary access, with no refund obligation.
7. Liability and Disclaimer
- The Agency will use best practices and industry knowledge but does not guarantee specific results such as lead volume, conversions, or sales.
- The Client understands that performance is influenced by many variables outside the Agency’s control.
- The Agency shall not be liable for any loss of revenue, business interruption, or data loss.
8. Governing Law
These terms of service shall be governed by and interpreted in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
9. Entire Agreement
These terms of service constitute the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
